These Terms of Use (“Terms”) are a legal agreement between you and Dimes, Inc. (“Dimes”, “we”, “our”, or “us”) and govern your use of our services. By using timelyhero services, you agree to these Terms.

DIMES SERVICE

timelyhero service consists all the text, data, information, software, graphics, photographs and more that we and our affiliates may make available to you (“Materials”), including our websites and any services, plug-ins, software or other Downloadable Tools (as defined below) that we may provide through any of our websites (the “Platform” and together with the Materials, this “Website”). timelyhero “Users” are the people who have created a timelyhero account, and timelyhero “Invitees” are people who have scheduled a meeting with a timelyhero User but may or may not have registered with timelyhero. A timelyhero “Viewer” is a person who visits the timelyhero Website but may or may not be a timelyhero User or timelyhero Invitee.

SCOPE

timelyhero’s Website facilitates online scheduling of appointments. You may access and use the Website in accordance with these Terms. Please note that these Terms govern your use of the Website, including, but not limited to, the process through which your Invitees schedule appointments with you.

When using the features of the Website you are subject to any agreements, policies or guidelines applicable to such features that may be posted from time to time. All such agreements, policies or guidelines, including the Privacy Policy, are hereby incorporated by reference into these Terms.

GENERAL USE

We invite you to use this Website for your individual purposes and not for the purposes of reselling ("Permitted Purposes").

Subject to these Terms, we grant you a limited, personal, non-exclusive and non-transferable license to use and to display the Materials and a limited, personal, non-exclusive and non-transferable right to access and use the Website following the set-up of an account as set forth below. You have no other rights in the Website and you may not modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance, or in any way exploit any portion of the Website in any manner. If you make copies of any portion of this Website while engaging in Permitted Purposes then we ask that you be sure to keep on these copies all of our copyright and other proprietary notices as they appear on this Website.

Subject to these Terms, we also grant you a limited, personal, non-exclusive, non-transferable license to download, install and operate any plug-ins, software, information, or other content that we may have specifically identified within the Website as available for download solely in connection with accessing the Website.

Our Website is not intended for and may not be used by individuals under thirteen (13) years of age. By registering for a timelyhero account, you state that you are at least thirteen (13) years of age, and you are responsible for ensuring that all timelyhero Users and Invitees are at least thirteen (13) years old. Creating an account with false information is a violation of our Terms, including creating an account on behalf of others or persons under the age of thirteen (13).

EDUCATIONAL USE

Children under the age of thirteen (13) shall only use the Services under an account created by and under their parent/guardian or school/educator and are specifically prohibited from the use of the Services otherwise.

ACCOUNT SETUP

To use the Website, you need to set up a timelyhero account. You are authorized by Dimes to set up one account only. Dimes reserves the right to terminate any additional accounts set up by you that have been inactive for over six (6) months.

When you create an account, we collect registration-related information, which includes your email address and your name. Once you submit the required registration information, we alone will determine whether or not to approve your proposed account. If approved, you will be sent an email detailing how to complete your registration. For so long as you use the account, you agree to provide true, accurate, current, and complete information that can be accomplished by logging into your account and making relevant changes directly. You are responsible for complying with these Terms when you access this Website, whether directly or through any account that you may set up through or on this Website. Because it is your account, it is your job to obtain and maintain all equipment and services needed for access to and use of this Website as well as paying related charges. You agree to choose a strong and secure password(s) and maintain the confidentiality of your password(s), including any password of a third-party site that we may allow you to use to access this Website. Should you believe your password or security for this Website has been breached in any way, you must immediately notify us at support@timelyhero.com .

Your account belongs to you. However, Dimes controls the URL(s) assigned to your account and may change or deactivate the URL(s) without prior notice.

SERVICE FEE

The consideration for using the paid service (the "Service Fee") shall be the amount separately determined by Dimes. Please check our website (https://timelyhero.com) for details on the Service Fee.

Paid Users shall pay the Service Fe set forth in the preceding paragraph by a method separately determined by Dimes (if it is required to pay the payment transaction fee, it shall be borne by you). Please note that we will not issue a receipt for the Service Fee you paid.

Dimes may change the Service Fee at the sole discretion of us. Section of CHANGES below shall apply mutatis mutandis to the procedure for changing the Service Fee.

LEGAL COMPLIANCE

You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of our Website. Dimes reserves the right to investigate complaints or reported violations of our Terms and to take any action we deem appropriate, including but not limited to canceling your User account, reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profile, e-mail addresses, usage history, posted materials, IP addresses, and traffic information, as allowed under our Privacy Policy. You agree to promptly notify Dimes in the event that you are made aware of any unauthorized or illegal use of the Website.

INTELLECTUAL PROPERTY

Our Website may contain our service marks or trademarks as well as those of our affiliates or other companies, in the form of words, graphics, and logos. Your use of our Website does not constitute any right or license for you to use such service marks/trademarks. Our Website is also protected under international copyright laws. The copying, redistribution, use, or publication by you of any portion of our Website is strictly prohibited. Your use of our Website does not grant you ownership rights of any kind in our Website.

NOTICES AND MESSAGE

By using the Website, you consent to receive emails from us. These emails may include notices about transactional information and other information concerning or related to this Website. These emails are part of your relationship with us. By scheduling a meeting as an Invitee with a timelyhero User, you consent to receive transactional emails related to the scheduled meeting (e.g., booking confirmations and reminders). If, as an Invitee, you provide your phone number for text reminders, you also consent to receive SMS text reminders from Dimes related to the scheduled meeting between you and the timelyhero User.

You agree that any notices, agreements, disclosures, or other communications that we send you electronically will satisfy any legal communication requirements, including that such communications be in writing. You agree to keep your contact information up to date, and to monitor your email settings to ensure that you receive emails from us at your discretion and as necessary.

LINKS TO OTHER WEBSITES

Our Website may contain links to third party websites. These links are provided solely as a convenience to you. By linking to these websites, we do not create or have an affiliation with or sponsor such third party websites. The inclusion of links within our Website does not constitute any endorsement, guarantee, warranty, or recommendation of such third party websites. Dimes has no control over the legal documents and privacy practices of third party websites, and by using them, you may be giving those third parties permission to use or control your information in ways Dimes would not. As such, you access any third-party websites at your own risk.

UNAUTHORIZED ACTIVITIES

To be clear, we authorize your use of this Website only for Permitted Purposes. Any other use of this Website beyond the Permitted Purposes is prohibited and, therefore, constitutes unauthorized use of this Website. This is because all rights to this Website remain our property.

Unauthorized use of this Website may result in the violation of various international copyright laws, the deletion of your timelyhero account, or a block from the Website.

For example, you are not allowed to use the Website:

• In a manner that modifies, publicly displays, publicly performs, reproduces, or distributes any of this Website;
• In a manner that violates any relevant law or these Terms;
• To stalk, harass, spam, or harm another individual, organization, or business;
• To disclose information that you do not have permission to disclose;
• To impersonate any person or entity, misstate your personal data, or otherwise misrepresent your affiliation with a person or entity;

INDEMNIFICATION

You agree to indemnify and hold Dimes, its parents, subsidiaries, affiliates, officers, agents, employees, resellers or other partners, and licensors harmless from any claim, demand, loss, or damages, including reasonable attorneys’ fees, arising out of or related to personal data, or the use thereof, including but not limited to allegations that any processing of personal data by Dimes and/or you under these Terms violates any applicable law or regulation, or infringes the privacy or intellectual property rights of a third party, any content that you disclose to Dimes via your use of the timelyhero Website, your use of the Website, your violation of these Terms, or your violation of any relevant law.

INTELLECTUAL PROPERTY INFRINGEMENT

We have a policy of suspending access to this Website (or any portion thereof) to any timelyhero User who uses this Website in violation of someone’s intellectual property rights, and/or terminating in appropriate circumstances the account of any timelyhero User who uses the Website in violation of someone’s intellectual property rights.

We have procedures for receiving written notification of claimed copyright infringement and for processing such claims. If you believe your copyright or other intellectual property right is being infringed by a timelyhero User, please provide written notice to us for notice of claims of infringement at support@timelyhero.com.

To be sure the matter is handled immediately, your written notice must:

• Contain your physical or electronic signature;
• Identify the copyrighted work or other intellectual property alleged to have been infringed;
• Identify the allegedly infringing material in a sufficiently precise manner to allow us to locate that material;
• Contain adequate information by which we can contact you (including postal address, telephone number, and e-mail address);
• Contain a statement that you have a good faith belief that use of the copyrighted material or other intellectual property is not authorized by the owner, the owner's agent or the law;
• Contain a statement that the information in the written notice is accurate; and
• Contain a statement, under penalty of perjury, that you are authorized to act on behalf of the copyright or other intellectual property right owner.

We reserve the right, in our sole discretion, to terminate the account or access of any timelyhero User or Invitee who is the subject of repeated infringement notifications.

WARRANTY DISCLAIMER

THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "WITH ALL FAULTS" AND THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE IS WITH YOU. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND (EXPRESS, IMPLIED OR STATUTORY) WHICH INCLUDES BUT IS NOT LIMITED TO, ANY IMPLIED OR STATUTORY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, ACCURACY OF DATA, TITLE, AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS.

We make no warranty that the Website will meet your requirements or will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We make no warranty as to the results that may be obtained or as to the accuracy or reliability of any information obtained through the Website. No advice or information, whether oral or written, obtained by you through the Website or from us or our subsidiaries/other affiliated companies will create any warranty. LIMITATION OF LIABILITY

DIMES WILL NOT BE LIABLE TO YOU OR OTHERS FOR ANY DAMAGES RESULTING FROM YOUR USE OF THE WEBSITE OR YOUR DISPLAYING, COPYING, OR DOWNLOADING ANY MATERIALS TO OR FROM THE WEBSITE. IN NO EVENT WILL DIMES BE LIABLE TO YOU FOR ANY INDIRECT, EXTRAORDINARY, EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, REVENUE, PROFITS, OPPORTUNITIES, REPUTATION, USE, OR OTHER ECONOMIC ADVANTAGE) HOWEVER ARISING, EVEN IF WE KNOW THERE IS A POSSIBILITY OF SUCH DAMAGE.

DIMES’S MAXIMUM AGGREGATE LIABILITY TO YOU IN CONNECTION WITH THESE TERMS OR THE WEBSITE, REGARDLESS OF THE FORM OF ACTION (WHETHER SUCH LIABILITY ARISES DUE TO NEGLIGENCE, BREACH OF CONTRACT, MISREPRESENTATION, OR FOR ANY OTHER REASON), WILL AT ALL TIMES BE LIMITED TO JPY 10,000.

THIS LIMITATION OF LIABILITY IS PART OF THE BASIS OF THESE TERMS AND SHALL APPLY TO ALL CLAIMS OF LIABILITY, EVEN IF DIMES HAS BEEN TOLD OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF THESE REMEDIES FAIL THEIR ESSENTIAL PURPOSE.

LOCAL LAWS

We control and operate the Website from our headquarters in Japan and the entirety of the Website may not be appropriate or available for use in other locations. If you use the Website outside Japan, you are solely responsible for following applicable local laws.

GOVERNING LAW AND JURISDICTION

You agree that the laws of Japan, without regard to principles of conflict of laws, will govern these Terms, and the Tokyo District Court is designated as an exclusive venue for the first instance for any dispute relating to these Terms.

GENERAL TERMS

These Terms, together with our Privacy Notice, contain the entire agreement between you and us and, therefore, supersede all prior or contemporaneous negotiations, discussions or agreements between Dimes and you about the Website and our services. The rights of Dimes under these Terms will survive the termination of these Terms. No additional terms, conditions, consent, waiver, alteration, or modification shall be binding unless in writing and signed by both parties.

Dimes will not be liable to you for any delay or failure to perform any obligation under these Terms if the delay or failure is due to events which are beyond reasonable control, such as a strike, blockade, war, act of terrorism, riot, natural disaster, for failure, or diminishment of power or telecommunications or data networks or services.

Unless you have specifically notified Dimes to the contrary in writing (including via email to support@timelyhero.com ), Dimes may disclose your company as a customer of timelyhero (if you use timelyhero for business purposes and/or use a business email address as your timelyhero User email address) and may use your company’s name and logo on the Website and in timelyhero’s promotional content. Dimes will request your prior written consent for any other uses.

CHANGES

These Terms are current as of the effective date set forth above. If any changes are made, we’ll post them on this page, so please be sure to check back periodically. If you continue to use timelyhero after those changes are in effect, you agree to the revised Terms.

SELLER TERMS

When you sign up to become a specialist on the timelyhero platform (“Seller”), you agree to abide by these Seller Terms ("Terms"). These Terms cover details about the aspects of the Dimes platform relevant to Sellers and are incorporated by reference into our Terms of Use, the general terms that govern your use of our timelyhero services (“Services”).

1. Seller Obligations

As a Seller, you are responsible for all content that you post, including lectures, quizzes, coding exercises, practice tests, assignments, resources, answers, course landing page content, labs, assessments, and announcements and other all contents ("Posted Content").

You represent and warrant that:

• you will provide and maintain accurate account information;
• you own or have the necessary licenses, rights, consents, permissions, and authority to authorize Dimes to use your Posted Content as specified in these Terms and the Terms of Use;
• your Posted Content will not infringe or misappropriate any third party's intellectual property rights;
• you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Posted Content and use of the Services; and
• you will ensure a quality of service that corresponds with the standards of your industry and instruction services in general.

You warrant that you will not:

• post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;
• post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;
• use the Services for business other than services ordered by purchasers;
• engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording;
• frame or embed the Services (such as to embed a free version of a course) or otherwise circumvent the Services;
• impersonate another person or gain unauthorized access to another person's account;
• interfere with or otherwise prevent other Sellers from providing their services or content; or
• abuse Dimes resources, including support services.

2. License to Dimes

You grant Dimes the rights to offer, market, and otherwise exploit your Posted Content. This includes the right to add captions or otherwise modify Posted Content to ensure accessibility. You also authorize Dimes to sublicense these rights to your Posted Content to third parties, including to purchasers directly and through third parties such as resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms.

Unless otherwise agreed, you have the right to remove all or any portion of your Posted Content from the Services at any time. Except as otherwise agreed, Dimes's right to sublicense the rights in this section will terminate with respect to new users 60 days after the Posted Content's removal. However, (1) rights given to purchasers before the Posted Content's removal will continue in accordance with the terms of those licenses (including any grants of lifetime access) and (2) Dimes's right to use such Posted Content for marketing purposes shall survive termination.

We may record and use all or any part of your Posted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You grant Dimes permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Posted Content, or Dimes's content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law.

3. Trust & Safety

3.1 Trust & Safety Policies

You agree to abide by content quality standards or policies prescribed by Dimes from time to time. You should check these policies periodically to ensure that you comply with any updates to them. You understand that your use of the Services is subject to Dimes's approval, which we may grant or deny at our sole discretion.

We reserve the right to remove content, suspend payouts, and/or ban Sellers for any reason at any time, without prior notice, including in cases where:

• an Seller or content does not comply with our policies or legal terms (including the Terms of Use);
• content falls below our quality standards or has a negative impact on the purchaser experience;
• an Seller engages in behavior that might reflect unfavorably on Dimes or bring Dimes into public disrepute, contempt, scandal, or ridicule;
• an Seller engages the services of a marketer or other business partner who violates Dimes's policies;
• an Seller uses the Services in a way that constitutes unfair competition, such as promotion of their off-site business in a way that violates Dimes's policies; or
• as determined by Dimes in its sole discretion.

3.2 Relationship to Other Users

You agree that you will not use the data you receive through the Service for any purpose other than providing your services to those purchasers on the Dimes platform, and that you won't solicit additional personal data or store purchasers' personal data outside the Dimes platform. You agree to indemnify Dimes against any claims arising from your use of purchasers' personal data.

3.3 Anti-Piracy Efforts

We partner with anti-piracy vendors to help protect your content from unauthorized use. To enable this protection, you hereby appoint Dimes and our anti-piracy vendors as your agents for the purpose of enforcing copyrights for each of your content, through notice and takedown processes (under applicable copyright laws like the Digital Millennium Copyright Act) and for other efforts to enforce those rights. You grant Dimes and our anti-piracy vendors primary authority to file notices on your behalf to enforce your copyright interests.

You agree that Dimes and our anti-piracy vendors will retain the above rights unless you revoke them by sending an email to Dimes with the subject line: "Revoke Anti-Piracy Protection Rights" from the email address associated with your account. Any revocation of rights will be effective 48 hours after we receive it.

4. Generated AI Bot Service “CloneMind”

Any service sold by Seller using generated AI bot service “CloneMind” displays the various information provided and Dimes does not guarantee its accuracy or completeness (including, but not limited to, the accuracy and completeness of information in a particular area of expertise, such as providing legal advice or expertise.).

Seller uses this service at its own risk and Dimes is not responsible for any consequences resulting from the information provided by this service.

Dimes may change or discontinue this service without notice, but Dimes is not responsible for any consequences resulting from such change or discontinuation.

5. Pricing

The fees for the Services can be found here.

6. Refund

We want you to be satisfied, so all eligible courses purchased on timelyhero can be refunded within 30 days, provided the request meets the guidelines in our refund policy. While our 30-day refund policy is to allow purchasers to learn risk free, we must also protect our instructors from fraud and provide them a reasonable payment schedule. Payments are sent to the Seller after 30 days, so we will not process refund requests received after the refund window.

We reserve the right, in our sole discretion, to limit or deny refund requests in cases where we believe there is refund abuse, including but not limited to the following. These refund restrictions will be enforced to the extent permitted by applicable law.

• A significant portion of the course has been consumed or downloaded by a purchaser before the refund was requested.
• Multiple refunds have been requested by a purchaser for the same course.
• Excessive refunds have been requested by a purchaser.
• Users who have their account reported, banned or course access disabled due to a violation of our Terms of Use.
• We do not grant refunds for any subscription services unless otherwise required by applicable law.

7. Trademarks

While you are a published Seller and subject to the requirements below, you may use our trademarks where we authorize you to do so.

You must:

• only use the images of our trademarks that we make available to you, as detailed in any guidelines we may publish;
• only use our trademarks in connection with the promotion and sale of your Posted Content available on Dimes or your participation on Dimes; and
• immediately comply if we request that you discontinue use.

You must not:

• use our trademarks in a misleading or disparaging way;
• use our trademarks in a way that implies that we endorse, sponsor, or approve of your Posted Content or services; or
• use our trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.

アカウント設定

本ウェブサイトを利用するには、timelyheroアカウントを設定する必要があります。お客様は、1つのアカウントのみを設定する権限を当社から与えられています。当社は、お客様が設定した追加のアカウントが6か月以上使用されていない場合、それを終了させる権利を留保します。

法令順守

お客様は、当社がお客様に電子的に送付する通知、合意、開示、またはその他の通信が、そのような通信が書面によるものであることを含め、法的な通信要件を満たすことに同意するものとします。お客様は、連絡先情報を最新の状態に保ち、電子メールの設定を確認して、お客様の判断で必要に応じて当社から電子メールを受信することに同意するものとします。

You agree to indemnify and hold Dimes, its parents, subsidiaries, affiliates, officers, agents, employees, resellers or other partners, and licensors harmless from any claim, demand, loss, or damages, including reasonable attorneys’ fees, arising out of or related to personal data, or the use thereof, including but not limited to allegations that any processing of personal data by Dimes and/or you under these Terms violates any applicable law or regulation, or infringes the privacy or intellectual property rights of a third party, any content that you disclose to Dimes via your use of the timelyhero Website, your use of the Website, your violation of these Terms, or your violation of any relevant law.

あなたがtimelyheroプラットフォームのスペシャリスト（以下「セラー」といいます。）となるためにサインアップした場合、あなたはこのセラー規約（以下「本規約」といいます。）を遵守することに同意したこととなります。本規約は、あなたがtimelyheroサービス（以下「本サービス」といいます。）を利用する際の一般的な規約である利用規約の一部を構成します。

1. セラーの義務

あなたはセラーとして、あなたが投稿したすべてのコンテンツに責任を負います。これにはレクチャー、小テスト、コーディング演習、演習テスト、課題、リソース、回答、コース紹介ページのコンテンツ、ラボ、評価およびお知らせその他一切のコンテンツ（以下「投稿コンテンツ」といいます。）が含まれます。

あなたは以下を表明および保証します。

• アカウント情報を正確な内容で提供および維持すること。
• 当社があなたの投稿コンテンツを本規約および利用規約に定めるとおりに利用することを承認するために必要なライセンス、権利、同意、許可および証明を有すること。
• あなたの投稿コンテンツがいかなる第三者の知的財産権も侵害または悪用しないこと。
• あなたが投稿コンテンツおよび本サービスの利用を通じて提供するサービスを、教えたり提供したりするために必要な資格、認定および専門知識（教育、訓練、知識および技術を含む）を有すること。
• あなたの業界や教育サービス全般の基準に対応する品質のサービスを提供すること。

あなたは、以下を行わないことを保証します。

• 不適切、攻撃的、人種差別的、悪意ある、性差別的、ポルノ、虚偽、誤解を招く、不正確、侵害的、中傷的、または名誉を毀損するコンテンツや情報を投稿または提供すること。

• 他人になりすましたり、許可なく他人のアカウントのアクセス権限を取得したりすること。
• 他のセラーがサービスやコンテンツを提供するのを侵害または妨害すること。
• 当社のリソース（サポートサービスを含む）を乱用すること。

2. 当社へのライセンス付与

あなたは、投稿コンテンツを提供、販売およびその他の方法で活用する権利を当社に付与します。これには、アクセスしやすさを確保するために、投稿コンテンツにキャプションを加え、またはその他の方法で投稿コンテンツを変更する権利が含まれます。また、あなたは、当社が、あなたの投稿コンテンツについての上記の権利を第三者にサブライセンスすることを認めます。これには、購入者に直接行う場合、および再販業者、ディストリビューター、アフィリエイトサイト、取引サイト、および第三者プラットフォーム上の有料広告などの第三者を通じて行う場合が含まれます。

別段の合意がない限り、あなたは、あなたの投稿コンテンツの全部または一部を本サービスからいつでも削除する権利を有します。別段の合意がある場合を除き、当社が保有する本条所定のサブライセンスする権利は、投稿コンテンツが削除された60日後に、新規ユーザーに関して終了します。ただし、（1）投稿コンテンツの削除前に購入者に付与された権利は、当該ライセンスの条件に従って継続し（期間の制限なしのライセンス付与を含む）、（2）当該投稿コンテンツをマーケティング目的で使用する当社の権利は、終了後も存続するものとします。

当社は、本サービスの品質管理、配信、マーケティング、宣伝、デモまたは運営を目的として、あなたの投稿コンテンツの全部または一部を記録および使用する場合があります。あなたは、適用法で許容される限り、本サービス、あなたの投稿コンテンツまたは当社のコンテンツの提供、配信、マーケティング、宣伝、デモまたは販売に関連して、あなたの名前、肖像、音声または画像を利用することを当社に許可し、かつプライバシー権、パブリシティー権または同様の性質を有するその他の権利を放棄します。

3. 信頼と安全

3.1 信頼と安全に関するポリシー

あなたは、当社が随時定めるその他のコンテンツ品質に関する基準またはポリシーを遵守することに同意します。これらのポリシーを定期的にチェックし、最新版を遵守していることを確認するようにしてください。あなたは、当社の承認を受けなければ本サービスを利用できないことを了解し、当該承認は、当社がその独自の裁量により付与または拒否することができるものとします。

当社は、いかなる理由でも、事前に通知することなく、いつでも投稿コンテンツを削除し、支払いを一時停止し、および／またはセラーを追放する権利を留保します。これには、以下のケースにおける場合が含まれます。

• セラーまたは投稿コンテンツが当社の定めるポリシーまたは法的条件（利用規約を含む）を遵守していない場合。
• 投稿コンテンツが当社の品質基準に満たない、もしくは購入者の体験に悪影響を与える場合。
• セラーが、当社にとって望ましくない評価をもたらす可能性がある行為、または当社に対して一般的な悪評、軽蔑、スキャンダルまたは嘲笑をもたらす可能性がある行為に関与する場合。
• セラーが、当社のポリシーに違反する販売業者またはその他のビジネスパートナーのサービスに従事する場合。
• セラーが、当社のポリシーに違反する方法で自身のサイト外のビジネスを宣伝するなど、不正な競争とみなされる方法で本サービスを使用している場合。
• 上記は当社の独自の裁量によって判断されるものとします。

3.2 他のユーザーとの関係

あなたは、当社プラットフォーム上で当該購入者にあなたのサービスを提供すること以外のいかなる目的にも本サービスを通じて受け取ったデータを利用しないこと、および当社プラットフォーム外で追加的な個人データを要求せず、または購入者の個人データを保存しないことに同意します。あなたは、あなたが購入者の個人データを利用したことに起因するいかなる請求についても、当社を免責することに同意します。

3.3 著作権侵害防止の取り組み

当社は、あなたのコンテンツを不正利用から保護できるよう、著作権侵害対策業者と提携しています。この保護を可能にするために、あなたは、（デジタルミレニアム著作権法などの適用される著作権法に基づく）通知および削除プロセスを通じて、各コンテンツに関する自身の著作権を行使することを目的として、またその他の活動によってこれらの権利を行使するために、当社およびその著作権侵害対策業者のそれぞれを自身の代理人としてここに任命します。あなたは、自身の著作権を行使するために、自身の代理として通知を行う主たる権限を当社およびその著作権侵害対策業者のそれぞれに対して付与します。

Sellerが生成AIボットサービス「CloneMind」を利用して販売するサービスは、提供される各種情報を表示するものであり、Dimesは、その正確性および完全性（法的アドバイスや専門知識の提供など、特定の専門領域における情報の正確性および完全性を含みますが、これらに限られません。）を保証するものではありません。

Sellerは、自己の責任において本サービスを利用するものとし、Dimesは、本サービスにより提供する情報に起因するいかなる結果についても一切の責任を負いません。

Dimesは、予告なく本サービスを変更または中止する場合がありますが、かかる変更や中止に起因するいかなる結果についても一切の責任を負いません。

6. 返金

Dimesは、納得のいく受講体験をお届けするために、30日以内であれば条件を満たすすべてのコースの返金に応じます。ただし、申請がDimesの定める返金ポリシーのガイドラインを満たしている必要があります。Dimesの30日返金ポリシーは購入者の利益を保護するためのものであると同時に、セラーを詐欺から守り、妥当な支払い日程を確保するためのものでもあります。購入後30日を過ぎると、受講料はセラーに送金されます。したがって、返金期間終了後の返金申請に応じることはできません。

Dimesは、その独自の裁量によって、不正に行われているとみなされる返金申請を制限または拒否する権利を留保します。そのような返金申請には以下を含みますが、これらに限定されません。なお、下記の返金に関する制限事項は、適用される法律で認められている範囲において適用されます。

• 購入者が返金を申請する前に、コースの大部分を視聴しているか、ダウンロードしている。
• 同じ購入者が同じコースの返金を2回以上申請している。
• 同じ購入者が返金を何度も申請している。
• timelyheroの利用規約への違反により、アカウントが通報されている、アカウントの使用が禁止されている、またはコースへのアクセスが禁止されているユーザー
• 適用法で義務づけられている場合を除き、定額制サービスの返金には応じられません。

7. 商標

あなたは、公開済みのセラーである間、以下の要件に従うことを条件として、当社が承認した場合に当社の商標を使用することができます。

あなたは、以下を遵守しなければなりません。

• 当社があなたに提供する当社商標の画像を、当社が公表するガイドラインで詳述するとおりにのみ使用すること。
• 当社で提供されるあなたの投稿コンテンツのプロモーションおよび販売、またはあなたの当社への参加に関連する場合にのみ当社の商標を使用すること。
• 当社が使用を中止するよう求めた場合に、直ちに従うこと。

あなたは、以下の行為を実施してはなりません。

• 誤解または誹謗中傷を招く方法で当社の商標を使用すること。
• 当社があなたの投稿コンテンツまたはサービスを支持、後援または承認していることを示唆する方法で当社の商標を使用すること。
• 適用法に違反する方法、または卑猥、わいせつもしくは不法なトピックもしくは素材に関連する方法で当社の商標を使用すること。
